After the registration of the company is completed, you can issue shares for new shareholders or additional shares for existing shareholders. We can help you properly issue new shares.  The issue of new shares must be carried out in accordance with the law and it is also required to inform Companies House about changes in the structure of shares of your company.  We will do everything as required so that you do not violate the law and will put your documents in order.

What does a share issue consist of?

When issuing shares, you must submit the following information to Companies House:

  • Total number of shares of your company
  • The total value of these shares
  • How many shares were paid or not paid

Your company’s shares may be ordinary or subject to special rights or restrictions.

For each type of share of your company, you must specify:

  • Rights that come with shares
  • How many shares have you issued for your company?
  • The total value of the shares before adding any additional costs

Transfer of shares

Once you have registered a company, you may need to make changes to the ownership structure of the company.  We will prepare the necessary documents for the transfer of shares, as well as  make the necessary changes to Companies House.

In order for changes to be made to the registry immediately, you will need to order the “Confirmation statement”  service.

How does it work?

Anti-Money Laundering (AML) regulations require the customer to send their photo ID and proof of residential address, as well as may be required.  We will request documents when communicating in e-mail.

When does a UK share transfer apply?

A share transfer is the process of transferring shares from one person to another.  The transfer of shares can be carried out by selling them or by agreement of the parties. Shares of the company can be transferred to both an individual and a legal entity in the event of a change in their shares in the company.

Shares are transferred in the following cases:

  • Transfer of shares from an existing shareholder to another
  • Change in the proportions of shares between existing shareholders
  • Appointment of a new shareholder and transfer of shares and/orexchange of  shareproportions
  • Appointing another company as a shareholder and then transferring shares or changing the proportions of the existing share structure

What are the requirements for issuing new shares?

When you issue new shares for your UK limited liability company, you must file all changes made to Companies House. In some cases, you may also need to make a special decision by the shareholders and directors of your company.  Skipping the issue of your company’s shares requires special permission if you want to:

  • Change the number of shares of your company and their total value (this is the part of your company’s income that comes from the shares)
  • Change the way your company’s shares are distributed
  • Cancel any of your company’s shares
  • Exchange shares of your company for other currencies (denomination).

Please note that if you are issuing more shares of your company, you must report this to Companies House within a month. Any changes in the structure of your shares, for example, requiring a special decision, must be reported to Companies House within the next 21 days.

  •  A share transfer document that must be correctly completed for a legal transfer of ownership from an existing shareholder to a new shareholder (Note: If shares are sold for more than £1,000, the new shareholder must send a copy of the transfer form to HMRC and pay mandatory stamp duty)
  • Minutes of board meetings at which directors authorize the transfer of shares
  • Certificates of shares for issuance to a new shareholder(s) in accordance with the requirements of the law
